　　買(mǎi)方未在規定的時(shí)間內開(kāi)出信用證，賣(mài)方有權發(fā)出通知取消本合同，或接受買(mǎi)方對本合同未執行的全部或部份，或對因此遭受的損失提出索賠。

　　The Buyer shall establish a Letter of Credit before the above-stipulated time， failing which， the Seller shall have the right to rescind this Contract upon the arrival of the notice at Buyer or to accept whole or part of this Contract non fulfilled by the Buyer， or to lodge a claim for the direct losses sustained， if any.

　　須于貨到目的口岸之日起15天內提出，對所裝貨物所提任何異議于保險公司、輪船公司、其他有關(guān)運輸機構或郵遞機構所負責者，賣(mài)方不負任何責任。

　　In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.

　　11. 由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品延誤交貨，賣(mài)方概不負責。本合同所指的不可抗力系指不可干預、不能避免且不能克服的客觀(guān)情況。 The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable， unavoidable and insurmountable objective conditions.

　　12. 仲裁(Arbitration)：

　　因凡本合同引起的或與本合同有關(guān)的任何爭議，如果協(xié)商不能解決，應提交中國國際經(jīng)濟貿易仲裁委員會(huì )深圳分會(huì )。按照申請仲裁時(shí)該會(huì )當時(shí)施行的仲裁規則進(jìn)行仲裁。仲裁裁決是終局的，對雙方均有約束力。

　　Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached， the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC) ，Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

　　13. 通知(Notices)：

　　Force Majeure：

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

　　18仲裁：

　　在履行協(xié)議過(guò)程中，如產(chǎn)生爭議，雙方應友好協(xié)商解決。若通過(guò)友好協(xié)商未能達成協(xié)議，則提交中國國際貿易促進(jìn)委員會(huì )對外貿易仲裁委員會(huì )，根據該會(huì )仲裁程序暫行規定進(jìn)行仲裁。該委員會(huì )決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。

　　All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no

　　ettlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of

　　Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

　　篇三：外貿出口合同

　　________市____________年____月____日

　　________國________________市____外貿公司(下稱(chēng)外貿公司)與____國______________市公司(下稱(chēng)公司)簽定本合同如下：

　　第一條合同標的和價(jià)格

　　________外貿公司在____國界車(chē)上交貨條件下按本合同附件1向________公司提供商品。商品以美元計價(jià)，系____國界車(chē)上交貨價(jià)，包括包皮、包裝和標記的費用。

　　根據附件1由________國向____國供貨的總值為_(kāi)_______美元。

　　________公司相應地在____國界車(chē)上交貨條件下按本合同附件2________向外貿公司提供商品。商品以美元計價(jià)，系____國界車(chē)上交貨價(jià)，包括包皮、包裝和標記的費用。

　　第二條供貨期

　　第四條包裝

　　賣(mài)方應在包裝貨物時(shí)采取所有預防措施以保證貨物在儲存、海運、陸運、吊裝時(shí)完好無(wú)損。

　　第五條商品的品質(zhì)和保證

　　所供商品的品質(zhì)應由品質(zhì)證明書(shū)加以確認，該證書(shū)確認商品品質(zhì)符合生產(chǎn)國的技術(shù)條件和國家標準。

　　所供商品的品質(zhì)性能應與標準樣品相一致，標準樣品在簽定合同時(shí)交給買(mǎi)方，在保證期內留存買(mǎi)方并在對供貨品質(zhì)發(fā)生爭議的情況下供雙方使用。

　　保證期為供貨后9個(gè)月。

　　第六條索賠

　　購方可按________________(兩國貿易文件或協(xié)定)所規定的期限和程序在下列方面提出索賠。

　　1.貨物的數量

　　如貨物數量與明細單注明的數量不符，在包裝完整和沒(méi)有外部損傷(內部短缺)的情況下，購方有權憑檢驗證書(shū)提出索賠。如果貨物的發(fā)運系按發(fā)貨人確定的重量發(fā)出，而國境交接站雙方鐵路交接中發(fā)現不足，并不屬鐵路方面的過(guò)失，可根據雙方鐵路方面編制的商務(wù)記錄提出索賠。

　　2.貨物的質(zhì)量

　　如貨物品質(zhì)與合同規定不符時(shí)，可根據商品檢證或無(wú)利害關(guān)系的權威機關(guān)的代表參與制成的記錄提出異議。

　　如售方所供貨物的品質(zhì)，不符合合同規定的'技術(shù)條件或與雙方確認的樣品不符時(shí)，購方有權要求售方或者削價(jià)、或者更換貨物。如果售方自收到異議之日起60天內不作最后決定，或不同意檢驗證書(shū)中確定的削價(jià)百分比時(shí)，則購方有權將品質(zhì)不合格的貨物按售方提供的地址退給售方。售方應在本合同規定的異議審理期限內將退貨地址通知購方。

　　如果在每批貨物中發(fā)現殘次品占20%以上，收貨人則將退回全部貨物。由于質(zhì)量原因退回貨物時(shí)所產(chǎn)生的全部費用由售方承擔。

　　在這種情況下，售方?jīng)]有免除向購方補發(fā)數量相同并符合合同規定的貨物責任。

　　在終點(diǎn)站檢驗貨物的數量和/或質(zhì)量所需要的一切費用由購方承擔。

　　第七條不可抗力條款

　　由于發(fā)生不可抗力情況，而直接影響本合同的履行時(shí)，售方對本合同受不可抗力影響的部分義務(wù)或全部義務(wù)無(wú)法履行的責任不予承擔。經(jīng)雙方協(xié)商，履行本合同義務(wù)的期限也可相應推遲。發(fā)生不可抗力情況一方應自災情結束之日起10日內將有關(guān)發(fā)生不可抗力的性質(zhì)、毀壞程度及影響合同履行的情況書(shū)面通知對方。如對方有異議，發(fā)生不可抗力情況一方憑其所在國有權機關(guān)的認證書(shū)豁免責任。

　　第八條仲裁

　　由本合同所產(chǎn)生或與本合同有關(guān)的一切糾紛，應盡可能通過(guò)雙方談判解決。如雙方不能達成協(xié)議，則提交____國對外經(jīng)濟貿易仲裁機關(guān)仲裁。
